Terms and Conditions

These Terms and Conditions (“Terms”) govern access to and use of the VSMS website, trade portal, and the supply of goods by Vet Surgical and Medical Supplies Pty Ltd (“VSMS”, “we”, “us”, “our”).
By accessing our website or purchasing goods, you agree to these Terms.
1. Trade Accounts
1.1 Access to pricing and ordering is restricted to approved veterinary practices and authorised purchasers.
1.2 VSMS may approve, decline, suspend or terminate any account at its sole discretion.
1.3 The account holder is responsible for:
- Maintaining confidentiality of login credentials
- All activity conducted under their account
1.4 VSMS may suspend accounts for:
- Overdue payments
- Misuse of products
- Breach of these Terms
2. Professional Use Only
2.1 All products supplied by VSMS are intended for use by qualified veterinary professionals.
2.2 Products must be used:
- In accordance with manufacturer instructions
- By appropriately trained personnel
- Within professional scope of practice
2.3 VSMS accepts no liability for:
- Misuse
- Improper surgical technique
- Off-label application
- Failure to follow instructions
3. Orders
3.1 An order is not accepted until confirmed by VSMS.
3.2 VSMS may:
- Refuse any order
- Limit quantities
- Cancel orders due to stock shortages or pricing errors
3.3 Orders may not be cancelled once dispatched.
4. Pricing
4.1 Prices are exclusive of GST unless stated otherwise.
4.2 Prices may change without notice.
4.3 If a pricing error occurs, VSMS may:
- Cancel the order; or
- Contact the customer to confirm the corrected price
5. Payment Terms
5.1 Payment terms for approved credit accounts will be as agreed in writing.
5.2 If no credit terms are agreed, payment is required prior to dispatch.
5.3 Late payments may incur:
- Interest at 10% per annum above the RBA cash rate
- Administrative fees
- Recovery costs
5.4 The customer agrees to indemnify VSMS for all reasonable costs incurred in recovering overdue amounts, including legal fees.
6. Retention of Title
6.1 Title to goods remains with VSMS until full payment has been received.
6.2 Until title passes:
- The customer holds goods as bailee for VSMS
- Goods must be stored separately and identifiable
- VSMS may enter premises to recover unpaid goods
6.3 Risk passes upon delivery (see Section 7).
7. Shipping and Risk
7.1 Delivery timeframes are estimates only.
7.2 Risk in goods passes to the customer upon delivery to the nominated address.
7.3 Customers must inspect goods immediately and notify VSMS of damage or shortages within 48 hours.
7.4 VSMS is not liable for carrier delays beyond its control.
8. Returns Policy
8.1 Returns require prior written approval.
8.2 Sterile, implantable, or temperature-sensitive products may not be returned if:
- Packaging is opened
- Sterility is compromised
- Chain of custody cannot be verified
8.3 Approved returns may be subject to:
- Restocking fees
- Freight charges
8.4 Faulty goods must be reported within 7 days.
9. Warranty and Australian Consumer Law
9.1 Nothing in these Terms excludes rights under the Australian Consumer Law.
9.2 To the extent permitted by law, VSMS liability is limited to:
- Replacement of goods
- Repair of goods
- Refund of purchase price
9.3 VSMS is not liable for:
- Consequential loss
- Loss of revenue
- Surgical complications
- Veterinary malpractice claims
10. Indemnity
The customer indemnifies VSMS against any claim, damage, loss or expense arising from:
- Improper product use
- Professional negligence
- Resale of goods
- Modification of goods
11. Website Use
11.1 Users must not:
- Attempt unauthorised access
- Interfere with system security
- Use automated scraping tools
11.2 VSMS does not guarantee uninterrupted website availability.
12. Intellectual Property
All website content, branding, and materials remain the property of VSMS. No reproduction without written permission.
13. Limitation of Liability
To the maximum extent permitted by law:
- VSMS excludes all liability for indirect, incidental, special, or consequential loss.
- Total liability is capped at the value of goods supplied.
14. Governing Law
These Terms are governed by the laws of Western Australia. Disputes are subject to the exclusive jurisdiction of Western Australian courts.
